Article I - NAME OF THE ORGANIZATION
The name of the club will be F1 Computer Users' Club. The purpose of the club will be to operate without profit to promote the education of computer users in order to enable them to more fully enjoy and benefit from such use.
Article II - MEMBERSHIP
Section 1: Qualifications for membership The voting membership of the club will consist of any person in good standing who is at least 18 years of age and has paid dues for the current year. Persons under age 18 may be associate members without voting privileges.
Section 2: Dues and term of membership The amount of the annual membership dues will be suggested by the Board of Directors and decided by a majority vote of members at the June membership meeting. Dues will be prorated from the month of joining to the end of the fiscal year.
Article III - MEETINGS
Section 1: Location & time of meetings Membership meetings will be held at 7:00 PM on the fourth Tuesday of each month at the Shell Knob School, unless otherwise stated in the club newsletter and the Rattler newspaper prior to the meeting.
Section 2: Notification of meetings Notification of membership meetings will be announced in the club's newsletter, in the local newspaper, and on the club's World Wide Web page at least one week prior to the meeting. The person in charge of notification will be appointed by the board of directors.
Section 3: Board meetings The board of directors will meet whenever its members deem it necessary.
Section 4: Quorums Those voting members as described in Article II, present at any meeting duly called by proper notice, will constitute a quorum.
Section 5: Voting At every meeting of the membership, each voting member present, as described in Article II, will be entitled to one vote. A majority of those voting will decide any question brought before such a meeting. The president will vote only to break ties.
Article IV - OFFICERS
Section 1: Designation and term of office The principal officers of the organization will be a president, a vice-president and a secretary/treasurer. The Board of Directors will consist of the three officers and two elected club members. Vacancies may be filled at a special meeting called by the Board of Directors.
The fiscal year of the club will be from July 1 through June 30, and the terms of its officers and directors will be the same. Elections will be held at the June meeting each year.
Section 2: Powers of the officers The Board of Directors will have the powers necessary for the administration of the club's affairs.
Section 3: Compensation No compensation will be paid to the members of the Board for their services performed for the club, unless a resolution authorizing such remuneration is adopted by the membership before such services are undertaken.
Amendments to the By Laws
The President, Vice President, Secretary, and Treasurer shall serve a two year term, with the President and Secretary to be elected in years ending with an odd number, and the Vice President and Treasurer being elected in those years ending with an even number.
The Board Members shall serve a term of three years, alternating election of one board member each year, and the Board Member whose 3-year term is ending shall be Chairman of the Nominating Committee for the last year of his term.
